    Definitions

    These definitions will help you navigate our terms and policies. Additional definitions might be found within specific policy documents. Whenever you see a capitalized term in our documents, it means that it is to be interpreted as following:

    Ad Inventory: or “Advertising Inventory” shall mean video advertising inventory exhibited in connection with any advertisement appearing on any Content including, without limitation, video advertisements immediately preceding (pre-roll), during interruption in program playback designated (mid-roll), subsequent to the program (post-roll) or during program playback (overlays).

    Advertising Revenues: revenue generated from Ad Inventory during the specific period.

    Affiliate: entity, individual, firm, or corporation, directly or indirectly, through one or more intermediaries, controlling, controlled by, or under Pzaz’s control.

    Agreement: written agreement between the Parties or any applicable terms and policies that had been accepted.

    ​​AVOD: or “Ad-supported Video on Demand” shall mean the business model where an Authorized End User pays no fees or charges for the right to watch Content and the exhibition of which is primarily supported by revenue derived from sales of Advertising Inventory.

    Channel: constitutes an entirety of your Content published, managed and distributed via Publisher Tools, including videos, playlists, and Product Information.

    Content: the content may include videos (for example, programs, movies, shows), audio (for example, music and other sounds), graphics, photos, text (such as comments and scripts), branding (including trade names, trademarks, service marks, or logos), interactive features and other materials made available to subscribers under the Agreement.

    Cookie: a cookie is a small file containing a string of characters that is sent to your computer when you visit a website. When you visit the site again, the cookie allows that site to recognize your browser and restore your settings.

    Device: any electronic device capable of accessing and using Pzaz, including a TV, computer, laptop, tablet, and smartphone.

    Documentation: means all generally available documentation relating to the Platform, including all user manuals, operating manuals, and other instructions, specifications, documents, and materials, in any form or media, that describe any component, feature, requirement, or other aspect of the Platform.

    Impressions: The number of ads successfully monetized. An impression is counted when the impression beacon is received.

    Law: all applicable laws, rules, regulations, orders and other requirements of governmental agencies.

    Marketing Materials: any materials provided by or approved by you in connection with the advertising, promotion and marketing of your Channel(s) and/or Content.

    Paid Service: any service that requires a Financial Transaction, such as a subscription, or a per-view fee.

    Parties: any Party to the Agreement individually; “Parties” refers to all of the parties to the Agreement collectively.

    Platform: the software and services used by Pzaz to distribute Channel(s) and/or digital materials to end users. The Platform may be updated or changed in whole or in part from time to time during the Term. Platform may also be referred to as Pzaz.

    Platform Data: any data collected, used or made available by Pzaz through the Stores, Devices, the Platform, or any other Pzaz-controlled mechanisms.

    Publisher Tools: a program that Pzaz makes available to publishers and content providers to manage Channel(s) and/or Content via the Platform. For the needs of the Agreement, the Publisher Tools may also be referred to as the Publisher Program.

    Product Information: materials you make available to Pzaz for presenting, depicting, performing and/or facilitating the discovery of your Channel(s) and/or Content, including in Platform interfaces, search results, discovery and/or recommendation features, and Stores (e.g., the channel tile logo, screenshots, summaries, video thumbnails, artwork, content IDs, title information, supported end user commands, and related metadata).

    Pzaz Brand Assets: any Pzaz trademarks, logos, trade names, service marks, service names, or other distinctive features owned by Pzaz, located at the Pzaz website or any other Pzaz associated website.

    Sales Order: means the order form, purchase order, signature page, webpage and/or statement of work referencing an Agreement or Terms of Service and specifying the relevant agreed commercial terms as accepted by the Client prior to the Effective Date. The Sales Order Form may be attached to the Agreement or Terms of Service or may be included in a separate documents or website making reference to the Agreement or Terms of Service.

    SVOD: or “Subscription Video On Demand” shall mean an On Demand Service whereby a subscription fee is paid by the viewer per subscription period (usually but not exclusively on a monthly basis), for the right to access the service and view programmes and for which no further per-view or per-programme fee is payable so that subscribers can watch each programme as often as they wish during the subscription period.

    Store: a digital storefront with Channel(s).

    Subscriber: any person or entity receiving Your content through Pzaz.

    Term: means the period commencing on the Start Date or date that You sign up for an account, and ending in accordance with the Termination section of the Agreement.

    Territory: each country or region you select through the Publisher Program, for each of your Channel(s).

    Third Party Ad Server: a third party that will serve and/or track Ads.

    Transactional Channel: a Channel that permits in-Channel purchases.

    TVOD: or “Transactional Video On Demand” shall mean an On Demand Service whereby the viewer pays a per-view fee for the right to view each individual Channel during a defined period (commencing at the time the user starts to view the Channel(s)).

    You or you: the person, company or other entity that is entering into the Agreement.

    Your Marks: your trade names, trademarks, service marks, logos, or brands, as owned (or licensed) by you.
